Trading of Northann common stock on the NYSE American was halted on June 25, 2026. On August 21, 2026, NYSE Regulation determined the Company is not suitable for continued listing under Sections 1001, 1002(e), 1003 and 1007 of the NYSE American Company Guide and commenced proceedings to delist the common stock; trading was suspended effective immediately. On August 28, 2026, the Company submitted a request for an oral hearing and review of the determination to the Exchange’s Listings Qualifications Panel; the Company cannot predict the timing or outcome of the hearing. Who is Northann’s independent registered public accounting firm?
LAO Professionals resigned as the Company’s independent registered public accounting firm on June 8, 2026. On August 26, 2026, the Audit Committee appointed TQ International, PLLC as the Company’s independent registered public accounting firm. In addition to its customary duties, TQ will audit the consolidated financial statements as of and for the fiscal year ended December 31, 2025 and review the Company’s previously issued financial statements.
